Purchase Terms & Conditions

1. Quotations

All quotations issued by Smart City Media Ltd (trading as City Dressing) are valid for 30 days from the date of issue unless otherwise stated in writing. Quotes are based on the information provided at the time and may be subject to revision if project requirements, specifications, timings, or site conditions change.

2. Pricing & VAT

All prices are quoted exclusive of VAT unless explicitly stated otherwise. VAT will be charged at the prevailing rate in accordance with UK legislation.

3. Payment Terms

Payment terms are 30 days from the invoice date, unless otherwise agreed in writing.
Smart City Media Ltd (trading as City Dressing) reserves the right to charge statutory interest and reasonable recovery costs on overdue accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4. Delivery, Installation & Timings

All delivery and installation dates provided are estimates only. Timings may be affected by factors beyond our reasonable control, including (but not limited to) weather conditions, site access, permissions, third-party contractors, or local authority restrictions. Smart City Media Ltd (trading as City Dressing) shall not be liable for delays caused by such factors. The client is responsible for ensuring safe, timely, and unobstructed access to the site at the agreed times.

5. Ownership & Risk

Ownership of all goods supplied remains with Smart City Media Ltd (trading as City Dressing) until payment has been received in full. Risk in the goods transfers to the client upon delivery or installation, whichever occurs first.

6. Cancellations & Amendments

Cancellations, postponements, or changes to orders must be agreed in writing.
Smart City Media Ltd (trading as City Dressing) reserves the right to charge for all costs incurred up to the date of cancellation, including (but not limited to) materials, labour, transport, storage, and third-party costs.

7. Issues, Defects & Claims

Any issues, defects, or discrepancies must be notified to Smart City Media Ltd (trading as City Dressing) in writing within 7 days of delivery or completion of works.
Failure to notify within this period may be deemed acceptance of the goods and services provided.

8. Liability

Smart City Media Ltd (trading as City Dressing) liability shall be limited to the value of the goods or services supplied under the relevant contract. We shall not be liable for indirect, consequential, or economic losses, including loss of profit, event cancellation, or reputational damage.

9. Force Majeure

Smart City Media Ltd (trading as City Dressing) shall not be liable for failure or delay in performance caused by circumstances beyond our reasonable control, including extreme weather, acts of God, industrial action, pandemics, or government restrictions.

10. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
